By-Law Revisions

In 2014-15, a Policy Review Committee was assigned responsibility to review and revise, and if need be, develop (new) policies of the Lakehead Social Planning Council, particularly those related to 211North for approval of the Board of Directors. This was precipitated by the Accreditation process for 211North’s 5-year accreditation. The committee first completed the task for the 211North in time for the Accreditation team’s approval process and subsequently granting another 5-Year Accreditation for 211North in 2015. The task of reviewing every policy for LSPC still required completion; however, the more urgent need to revise LSPC’s By-Laws and bring them in line with the Not-for-Profit Corporations Act, 2010 (Ontario) or ONCA, that is expected to be enacted in the not too distant future, was commissioned by LSPC’s Board in 2016.

The committee has now completed a full revision of the Lakehead Social Planning Council’s former By-Laws #1 and #2, unified them as one By-Law, and has ensured that they are in line with the default (recommended) By-Laws of the Not-for-Profit Corporations Act, 2010 (Ontario). Last night, the Board of Directors provided their approval of the attached Revised By-Laws of the Corporation. On behalf of the Board, I intend to table a motion at the May 16, 2017 Annual General Meeting (AGM) seeking the approval of the Members for these Revised By-Laws. See details of the time and place of the AGM and the theme of this years’ AGM attached.

Through these revised By-Laws, it is the hope of the Board of Directors that they will clarify the responsibilities of the Directors, the Officers of the Board, as well as the Members, while strengthening ‘governance of the Corporation’. Due to the number of changes made, it is suggested that you read the Revised By-Laws in their entirety prior to the AGM.
